Sample Resolution for a Lodge to Adopt a Masonic Angel Fund

Resolved, that ______________________________________ [insert name of adopting Masonic entity] (hereinafter, “The Lodge”) adopts the “Ten Standards” for operation of a Masonic Angel Fund as set forth by the Masonic Angel Foundation, Inc. and hereby applies for a permission to operate a Masonic Angel Fund in the schools listed below:

The Lodge agrees to maintain the “Ten Standards” and to operate its local Masonic Angel Fund within the parameters specified in that publication. 

The local Masonic Angel Fund is organized exclusively for charitable purposes under section 501(c)(3) or the Internal Revenue Code, or corresponding section of any future federal tax code. 

No part of the funds received by the local Masonic Angel Fund shall inure to the benefit of, or to be distributable to its members, trustees, officers or other private persons, except that the local Masonic Angel Fund shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof.  The local Masonic Angel Fund shall not carry on any other activities not permitted to be carried on by an exempt organization under section 501(c)(3) of the Internal Revenue Code (or corresponding section of any future federal tax code) or by an organization contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code.

Upon the dissolution of the local Masonic Angel Fund, its assets shall be transmitted to the Masonic Angel Foundation, Inc. or its successor for charitable benefit of children living in the community served by the local Masonic Angel Fund.  If the Masonic Angel Foundation, Inc. or its successor is no longer extant the assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code. 

The Lodge agrees to select three independent Trustees for its local Masonic Angel Fund.

The Lodge herewith enclosed a first-year affiliate dues of $75 made payable to Masonic Angel Foundation, Inc.  Subsequent years’ affiliate dues will be invoiced approximately sixty days before the anniversary of the Lodge’s adoption vote.  Dues are not to be paid with Masonic Angel Fund charitable funds.

This resolution was duly proposed and VOTED by the Lodge at its Communication on ______________________________ and is enacted by the signatures and seal that appear below.
